This Agreement for Professional Services (the “Agreement”) effective as of today "date of purchase" is by and between you (hereinafter “Client”) and Vegan Playground LLC (hereinafter “Company”). WHEREAS, Client finds that the Company is willing to provide certain services in accordance with the provisions of this agreement; NOW, THEREFORE, in consideration of the mutual covenants set forth herein and intending to be legally binding, the parties hereto agree as follows:
1. SERVICES - The Company shall provide the following Services to Client:
1.1 Company will allow Client the right to vend at the event Vegan Playground LA at Boomtown Brewery within a 10' x 10' space unless otherwise agreed upon prior to the event.
1.2 Company will designate Client a display space at the Company event to showcase and sell product from Client’s brand to attending guests.
1.3 The event will operate rain or shine.
2. GUIDELINES
2.1 Client will only bring and distribute 100% vegan and cruelty-free items to the Vegan Playground event. No meat, dairy, egg, fur, leather, feather, gelatin, bee product, or any animal by-product is permitted.
3. PAYMENT TERMS
3.1 A one-time, nonrefundable fee of total shown above and below is due immediately at the time of purchase.
3.2 Client hereby fully agrees and understands that the fee states above is not refundable for any reason.
3.3. Future date prices subject to change.
4. GOVERNING LAW; ENTIRE AGREEMENT
This agreement constitutes the entire contract. All changes to the agreement by any party must be in writing and approved by both parties. This agreement shall be interpreted under the Laws and Jurisdiction of the State of California. The parties further agree that any action regarding the enforcement or interpretation of this Agreement must be brought in the applicable federal or state court.
